These Subscription & Data Terms (“Terms”) govern access to and use of Funding Tracker (“Funding Tracker,” “we,” “us,” or “our”) by dealerships and other subscribing businesses (“Customer,” “you,” or “your”).
By subscribing to or continuing to use Funding Tracker, you agree to these Terms.
1. Monthly Subscription
Funding Tracker is provided on a monthly subscription basis unless otherwise agreed to in writing.
Your monthly subscription covers the number of dealerships, locations, users, or services identified in your subscription or invoice.
Subscription pricing may vary depending on the number of dealerships, locations, users, services, or other features included in your account.
Applicable sales or other taxes are the responsibility of the Customer and may be added to the subscription price.
2. Changes to Subscription Pricing
Funding Tracker may change subscription pricing when reasonably necessary due to changes in operating costs, services, features, infrastructure, taxes, or other business considerations.
Customers will receive at
least twenty (20) days’ written notice before the next scheduled payment of any change to their recurring subscription price.
If you do not wish to continue under the new pricing, you may notify Funding Tracker before the new pricing takes effect and discontinue your subscription in accordance with these Terms.
3. Cancellation
Customers may request cancellation of their subscription by providing written notice to Funding Tracker.
Unless otherwise agreed in writing, cancellation will become effective at the end of the current paid subscription period.
Cancellation does not eliminate any outstanding balance, unpaid invoice, failed payment, or other amount owed to Funding Tracker.
4. Customer Data
Customer retains its rights to its own business records and customer information that it provides to or stores within Funding Tracker, subject to applicable law and any agreements governing that information.
Funding Tracker retains ownership of its software, platform, database structure, system architecture, source code, workflows, proprietary processes, documentation, trademarks, and other intellectual property.
Access to Customer Data through Funding Tracker does
not transfer ownership of Funding Tracker or any portion of its underlying technology to Customer.
5. Data Export Upon Cancellation
After cancellation, Customer may request an export of eligible Customer Data maintained within Funding Tracker.
Standard exports may be provided according to Funding Tracker’s then-current export procedures and fees.
Requests requiring substantial processing, historical reconstruction, customized formatting, database manipulation, manual review, or other work beyond a standard export may be subject to an additional
data-export or processing fee, which will be communicated to Customer before the work is performed.
Funding Tracker may require payment of all applicable export fees and any outstanding account balance before releasing a requested export.
6. Export Format and Scope
Funding Tracker will determine the available export format and the categories of information reasonably capable of being exported.
An export does not include:
- Funding Tracker source code
- database schema or underlying database architecture
- proprietary algorithms or processes
- system credentials
- internal documentation
- information belonging to other customers
- confidential information belonging to Funding Tracker or third parties; or
- other Funding Tracker intellectual property.
Customized exports may be subject to additional fees.
7. Data Retention After Cancellation
Following cancellation, Funding Tracker may retain Customer Data for a limited period as reasonably necessary for legal, accounting, security, backup, dispute-resolution, or legitimate business purposes.
Customer should request and obtain any desired data export
before or promptly following cancellation.
Funding Tracker is not responsible for maintaining Customer Data indefinitely after the subscription has ended.
Following the applicable retention period, Customer Data may be deleted, anonymized, or otherwise disposed of in accordance with Funding Tracker’s data-retention practices and applicable law.
8. Outstanding Balances
Cancellation does not release Customer from amounts already owed to Funding Tracker.
Funding Tracker reserves the right to suspend access to the service for unpaid balances and may pursue collection of amounts properly owed.
9. Use of Funding Tracker
Customer receives a limited right to access and use Funding Tracker for its internal business operations during the period of an active subscription.
Customer may not copy, reproduce, reverse engineer, decompile, modify, resell, sublicense, distribute, or create a competing product from Funding Tracker or its proprietary technology.
Customer Data exported from Funding Tracker may not be used to obtain, reproduce, or reconstruct Funding Tracker’s proprietary software, architecture, workflows, or other protected technology.
10. Changes to These Terms
Funding Tracker may update these Terms from time to time.
Material changes will be communicated to active Customers through reasonable written notice.
Continued use of Funding Tracker after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
